1. Engagement
Engagements are scoped and priced via a written statement of work (SoW) issued before any work commences. The SoW is the controlling document; these terms fill the gaps.
2. Payment
Retainers are billed monthly in advance. Project engagements invoice 50% on signature, 50% on delivery. Invoices are due on receipt; overdue invoices attract 1.5% monthly interest.
3. Intellectual property
All work product created under a signed SoW transfers to the client on final payment, excluding any pre-existing tools, frameworks, or code that Dom owns independently. Those are licensed to the client for the engagement’s purpose.
4. Confidentiality
All non-public information shared during an engagement is confidential and will not be disclosed outside the engagement without written permission.
5. Termination
Either party may terminate a retainer with 30 days’ written notice. Project engagements may be paused or terminated at milestones documented in the SoW.
6. Liability
Total liability under any engagement is limited to the fees paid in the three months preceding the claim.
7. Jurisdiction
These terms are governed by the laws of Queensland, Australia.
